These Terms of Service ("Terms") govern your use of Venue Seating Wizard ("Service"), a personal project by Aviram Kofman ("I", "me", or "my"). By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description

Venue Seating Wizard is a personal web-based project that helps arrange guests at tables for events. The Service processes data temporarily to calculate optimal seating arrangements based on your inputs and constraints.

2. Eligibility and Account Requirements

This Service is intended for users who are at least 16 years old. By using the Service, you represent that you have the legal capacity to enter into these Terms.

3. Acceptable Use

You agree NOT to:

  • Use the Service for any unlawful purpose or in violation of any laws
  • Upload or process data containing malware, viruses, or malicious code
  • Attempt to circumvent rate limits or access restrictions
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any part of the Service
  • Use automated systems or software to extract data from the Service
  • Impersonate any person or entity
  • Process data that infringes on others' privacy rights without consent
  • Use the Service to harass, abuse, or harm others

4. User Content and Data Processing

4.1 Your Content: You retain all rights to the data you input ("User Content"). By using the Service, you grant me a limited, non-exclusive license to temporarily process your User Content solely to provide the optimization service.

4.2 Your Responsibilities: You represent and warrant that:

  • You have all necessary rights to the User Content
  • Your User Content doesn't violate any third-party rights
  • You have obtained necessary consents from individuals whose data you process
  • Your use complies with applicable data protection laws

4.3 No Storage: I do not permanently store your User Content. All data is automatically deleted after processing.

5. Intellectual Property

The Service, including its original content, features, and functionality, is my intellectual property and is protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

6. Service Availability and Modifications

6.1 No Guarantee: The Service is provided on an "as available" basis as a personal project. I do not guarantee uninterrupted or error-free operation.

6.2 Modifications: I reserve the right to modify, suspend, or discontinue the Service (or any part) at any time without notice. These Terms may also be modified at any time.

6.3 Pricing: The Service is currently provided at no charge, but I reserve the right to introduce fees in the future with reasonable notice.

7. Privacy

Your use of the Service is also governed by our Privacy Policy. Please review it to understand our data practices.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. This is a personal project provided for public use. To the fullest extent permitted by law, I disclaim all warranties, express or implied, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Service will meet your requirements or be error-free
  • Warranties regarding the accuracy or reliability of results
  • Warranties that defects will be corrected

Some jurisdictions don't allow disclaimer of implied warranties, so some of the above may not apply to you.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL I BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or use
  • Business interruption
  • Cost of substitute services
  • Any damages exceeding $100 USD

This limitation applies regardless of the theory of liability and even if I've been advised of the possibility of such damages. Some jurisdictions don't allow limitation of liability, so this may not fully apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Aviram Kofman from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your User Content
  • Your violation of applicable laws

11. Dispute Resolution and Governing Law

11.1 Informal Resolution: I prefer to resolve disputes informally. Before filing any legal action, please contact me to attempt resolution.

11.2 Governing Law: These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

11.3 Jurisdiction: Any disputes shall be resolved exclusively in the courts of Delaware, and you consent to personal jurisdiction in these courts.

11.4 International Users: If you access the Service from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

12. Termination

I may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service ceases immediately.

13. Force Majeure

I shall not be liable for any failure or delay in performance due to circumstances beyond my reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

14. General Provisions

14.1 Entire Agreement: These Terms constitute the entire agreement between you and me regarding the Service.

14.2 Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.

14.3 No Waiver: My failure to enforce any right or provision is not a waiver of that right or provision.

14.4 Assignment: You may not assign these Terms without my prior written consent. I may assign my rights and obligations without restriction.

14.5 Notice: I may provide notices to you via the Service or through the contact information you provide.

15. Special Terms for Specific Jurisdictions

15.1 European Users: Nothing in these Terms limits your rights under European consumer protection laws.

15.2 California Users: If you are a California resident, you may have additional rights under California law.
